About the role:

This is a new role in the Open Health Group. The US Legal Counsel will be accountable for providing professional-level support across all legal and relevant compliance aspects of OPEN Health’s North American practices and subsidiaries, working closely, and in partnership with the central legal team, based in the UK (the “Central Legal Team”).

This individual will efficiently ensure business processes and transactions follow relevant US legal and internal guidelines, and will work to harmonize processes and policies of the North American businesses to bring them in line with the spirit and intent of the OPEN Health core values, policies, processes and procedures, as well as ensure compliance with US laws, regulations and codes of practice.

Whilst the role is required to support OPEN Health’s North American business, your geographical location is of lesser importance, provided that core US opening hours are covered and the OPEN Health Group have the geographical, operational and managerial infrastructure in place to support appropriately.

As part of the OPEN Health Legal & Compliance team, you’ll be responsible for the following activities:

  • Support of all day to day US-based legal and contracting issues, covering core US working hours
  • Working with the Group Legal Counsel and the Head of Risk, Compliance and Privacy and other key senior management to implement and manage an effective US legal & compliance program including developing and manage policy guidelines and standard operating procedures that will build or modify business capabilities, behaviours, structures, and processes
  • Negotiating, reviewing and amending contracts with clients and suppliers within the OPEN Health Group’s agreed risk appetite
  • Increasing internal efficiencies by developing and reviewing company policies with the knowledge of industry standards and all applicable US federal, state, and local law and regulation affecting the OPEN Health North American businesses
  • Overseeing legal compliance with federal, state, and local employment laws for employees and freelancers
  • Assessing and quantifying legal risk and litigation avoidance to provide strategic options for company operating and business decisions
  • Making recommendations for change in policies and procedures as required
  • Providing accurate and timely counsel to OPEN Health senior management team on a variety of matters including commercial, corporate, company secretarial, intellectual property, IT, data privacy, employment and real estate law as required, towards the achievement of its established goals
  • Instructing, liaising and managing external lawyers and other professionals on legal matters where the needs of the business require expert external advice in an efficient manner
  • Cost control of external lawyers and other professionals
  • Briefing the Central Legal Team & senior management team on legal matters for review in advance of meetings of the board and present to senior management on legal and compliance matters affecting the US businesses and staff
  • Drafting and implementing improvements to contract templates and the contract management processes in partnership with the Central Legal Team
  • Contributing to the development of US applicable safety practices and data privacy procedures and oversee compliance in partnership with the Central Legal Team
  • Staying apprised of and advise relevant management of new laws and regulations or when changes have been made in the US
  • Delivering such training on legal & compliance processes and issues to the OPEN Health Group & its business practices as considered desirable from time to time
  • Responsibility for generation and filing of own electronic filing, implementing own general office administration processes, including time recording of activities
  • Following standard operating procedures and internal policies and processes
  • Developing and maintaining a good working relationship with clients and internal colleagues, serving as an ambassador to promote the Group’s high quality and ethical image
  • Performing any other duties as assigned by the Central Legal Team or management as are deemed appropriate
  • Supporting colleagues in the Central Legal Team as necessary to help them meet departmental objectives and responsibilities, being a good team player at all times
  • Occasional travel may be required from time to time

What you’ll bring:

Required experience and qualifications:

  • 2 – 5 years of experience in contract and commercial law and associated risk management, preferably with experience of an in-house environment. A background in the pharmaceutical sector a significant plus
  • Good knowledge of general compliance and regulations requirements
  • BA/BSc law and/or JD Post-graduate law degree
  • High level of IT proficiency (MS Office 365)
  • Excellent written & spoken English
  • Demonstrable ability to establish a sensible and practical balance between legal risks and the need to do business
  • Demonstrable project and process management skills, with a deadline-driven mindset and approach
  • Demonstrable ability to effectively thrive in a fluid, fast-changing environment as part of a team
  • Exercise excellent judgment, attention to detail and ability to handle sensitive and confidential information
